Residential Interior Design Contract

 

This agreement between Woody Uncle Sam and JMD Furniture herein known as “Interior Designer Firm,” and Mrs.Ashwini herein known as “Client,” is entered into this 10/09/2018

Client and Designer agree to the following provisions:

The Job

Client is hiring Designer to perform work in/on Sus area at Apartment

Specific Services

Interior Designer Firm will perform the following services as part of this job:

  1. Design.
  2. Execution

The Work

Scope of Work includes all the items mentioned in the Quotation at the given rate. Work will begin on 11/09/2018 and is estimated to take 90days to complete.

Payment:

  • Client will pay Designer Rs.5,40,000 for these services. This fee is payable in following installments as the work progresses.
  • Non-payment of the installments will result in a stoppage of work, termination of the agreement, or delayed execution.

Changes:

  • Any work item to be implemented has to be pre-approved by the client. If the client changes the designs after implementation then client will be charged as per actual.

Cancellation of items:

  • If the client cancels any of the item mentioned in the quote during the execution after reaching an agreement value then the amount of cancelled item will NOT BE refunded as per actual.

Adhoc Requests:

  • Any Adhoc requests related to interiors or any work item demanded by the client which is non existent in the quotation, its cost will not be absorbed in the existing quotation and will be charged as per actual.

Cancellation

  • Client has the right to terminate this agreement if he is not happy with the quality of work and service provided by the Interior Designing firm. Before terminating the contract client to pay the material cost present at the site and outstanding amount or as agreed upon negotiation.
  • Designer has the right to terminate this agreement due to nonpayment of installments.

Liability

  • Interior Designer firm will be responsible for any loss caused to the property during execution.
  • No item shall be ordered by the interior designer firm until the product purchase has been approved and prepaid by the client unless other arrangements have been agreed upon. The client upon receiving a receipt or invoice shall reimburse expenses incurred by Interior Designer firm in the interest of the project. The Interior Designer firm assumes no liability and holds no responsibility due to the quality of items or services purchased, as promised by the manufacturer, for the Client.
  • The Interior Designer firm shall not be required to reveal “to the trade” prices/commissions or Bills or Invoices of the materials.
  • Interior Designer firm holds the entire responsibility of the quality of material, workmanship and quality of work.
  • Interior Designer firm holds the entire responsibility of any item damaged during the execution and will not charge the client for damage.

 

GENERAL CONDITIONS

CLIENT REQUIREMENTS

  • The client shall clearly and timeously specify his/her requirements and provide relevant information, decisions and instructions to the interior designer firm when requested.
  • In the case of a change to the client’s requirements, which is likely to vary the contract value, time schedule or professional fees, the interior designer firm shall promptly inform him/her thereof and confirm his/her agreement to any additional fees and supplementary services that may be required.

CONSULTANTS AND/OR CONTRACTED DESIGN SERVICES

  • Where the design in relation to the project is undertaken by the client’s agents or consultants, the interior designer firm shall not be responsible and shall not be liable for quality. Unless otherwise agreed, the interior designer firm shall not be liable for fees due to such agents or consultants.
  • Interior Designer firm will not be held responsible for any damage to the property and the delay caused in execution because of client’s agents or client’s consultants or a third party vendor hired by the client.

FAILURE OF MATERIALS ETC.

  • The interior designer firm shall not be responsible for any material, component, system or workmanship failing to perform according to the claims of the manufacturers.

CONTRACT ADMINISTRATION

  • The interior designer firm, together with his sub-contractors, is directly responsible to the client for due performance and quality in terms of the building contract. By way of administration and inspection of the works, the interior designer firm shall use his best endeavors to limit delays to and deficiencies or defects in the execution of works.
